Service Agreement

1. Service Authorization & Risk

Customer authorizes Provider to perform technical services (diagnostics, repairs, installations, data transfers, network changes). Technical service inherently risks data loss, hardware failure, and software incompatibility. Customer voluntarily assumes these risks. Provider does not guarantee specific outcomes.

2. Limitation of Liability

To the maximum extent permitted by Arizona law, Customer releases Provider from all claims or damages arising from the Service, including data loss or device damage, except in cases of Provider’s gross negligence, recklessness, or intentional misconduct. Provider’s total liability shall not exceed the amount Customer paid for the Service. Provider is not liable for indirect, consequential, or punitive damages.

3. Data Backups & Warranty Disclaimer

Customer is solely responsible for backing up all data prior to service. All Services are provided “AS IS” without express or implied warranties.

4. Equipment Procurement

If Provider procures hardware, software, or equipment on Customer’s behalf:

  • Provider provides such items “AS IS” and offers no warranties. Standard manufacturer warranties, if any, pass directly to the customer.
  • Provider is not liable for equipment defects, hardware failure, or damage caused by Customer misuse, improper handling, power surges, or unauthorized modifications.

5. Indemnification & Force Majeure

Customer agrees to defend and indemnify Provider against third-party claims arising from Customer’s breach of this Agreement or unauthorized software/hardware use. Provider is not liable for delays caused by circumstances beyond its control (e.g., utility outages, supply delays).

6. Customer Acknowledgement

By signing below, Customer confirms they have read this Agreement, have authority to bind the device/business owner, accept all risk allocations and limitations of liability, and authorize Provider to proceed with the requested Service.

7. Payment

Payment is due in full upon completion of services and prior to the release of equipment. Provider reserves a possessory lien on all equipment until all outstanding balances, including diagnostic or storage fees, are paid.

8. Software Authorization

Provider assumes no liability for pre-existing unauthorized software, unlicensed material, or illegal content on Customer’s device. Provider reserves the right to suspend or terminate services immediately, without refund, if Customer requests actions that violate copyright laws or if illegal content is encountered during the repair process.

9. Governing Law & General Terms

This Agreement is governed by Arizona law, with exclusive jurisdiction in Pima County, Arizona. If any portion is unenforceable, the remaining terms remain valid.
